Terms of Service

The agreement between Axiss AI Corp. and the businesses that use the Axiss AI platform. Written to be read, not skimmed past.

Last updated: October 22, 2026  ·  Axiss AI Corp. · Delaware corporation

These Terms of Service (the "Terms") are an agreement between Axiss AI Corp., a Delaware corporation ("Axiss," "we," "us"), and the business that signs up for or uses the Axiss AI platform ("Customer," "you"). You accept these Terms by checking the box at checkout, signing an Order Form that references them, or using the Service. If you accept on behalf of a company, you confirm you have authority to bind it. The Service is for business use only, not for consumers.

01

The Service

1.1  What it is. Axiss AI is a customer revenue intelligence platform. It connects to systems you choose, such as your CRM, email and calendar, and uses that data to produce briefs, deal and account analysis, prioritization and recommended actions (the "Service").

1.2  Access. For the subscription term, we grant you a non-exclusive, non-transferable right for your Authorized Users to use the Service for your internal business purposes. "Authorized Users" are your employees and contractors you assign a seat to.

1.3  Order Forms and plans. Your plan, seat count, AI credits, price and term are set out in your checkout summary or a signed order form (each an "Order Form"). If an Order Form conflicts with these Terms, the Order Form controls for that order.

1.4  No reliance on future features. Your purchase isn't contingent on features we haven't released, including anything shown on a roadmap or described as "coming soon."

1.5  Beta features. Features labeled beta, preview or early access are provided as is, may change or be withdrawn, and aren't covered by any service commitment.

02

Accounts and connected systems

2.1  Accounts. You're responsible for your Authorized Users, their credentials, and activity under your account. Seats are named and can't be shared. You may reassign a seat when someone leaves.

2.2  Connected systems. When you connect Salesforce, HubSpot, Google Workspace, Microsoft 365 or another system, you authorize us to access it within the permissions you grant, for the purpose of providing the Service. You're responsible for having the right to connect those systems and share their data with us, and for following the terms of those third-party services. We aren't responsible for third-party services or changes they make to their APIs.

2.3  Actions taken in your systems. Some features can write to your CRM or draft outbound messages. Outbound actions require a user's approval before they're sent. You're responsible for reviewing and approving actions taken from your account.

03

Fees, seats and AI credits

3.1  Fees. You agree to pay the fees in your Order Form. Prices on our pricing page may change, but changes don't affect a subscription term you've already paid for.

3.2  Seat minimum. Paid plans require a minimum of 3 paid seats. Users with view-only access don't count toward the minimum and aren't billed.

3.3  Adding seats. You can add seats at any time. Added seats are prorated to the end of your current term and renew with it.

3.4  AI credits. AI features consume credits as described on our pricing page. Credits included with a plan reset each billing month and don't roll over. Credits from a monthly AI pack also reset each month and don't roll over. Top-up credits last 90 days from purchase. If you turn on automatic top-up, we'll charge your payment method for the amount you set each time your balance runs out, until you turn it off. Without automatic top-up, AI features pause when credits run out.

3.5  Payment. Card and other online payments are processed by our payment processor. You authorize us to charge your payment method for all fees, renewals, seat additions and credit purchases when due. Invoiced fees are due within 30 days. Fees exclude taxes, which you're responsible for other than taxes on our income.

3.6  Late payment. If a payment fails or an invoice is more than 15 days overdue, we may suspend the Service after giving you at least 7 days' notice by email.

3.7  Refunds. Except where these Terms say otherwise, fees are non-refundable and seats can't be reduced mid-term.

04

Term, renewal and cancellation

4.1  Subscription term. Your subscription runs for the term in your Order Form, either monthly or annual.

4.2  Automatic renewal. Subscriptions renew automatically for the same length of term unless you cancel before the renewal date. We'll email a renewal reminder at least 30 days before an annual renewal. Renewal pricing is the price in your Order Form unless we notify you of a change at least 45 days before renewal.

4.3  How to cancel. You can cancel in the app under billing settings or by emailing billing@axiss.ai. Cancellation takes effect at the end of the current term. Monthly plans can cancel any time before the next billing date. Annual plans must cancel before the renewal date.

4.4  Reducing seats. You can reduce your seat count, down to the minimum, effective at the next renewal.

4.5  Termination for breach. Either party may terminate if the other materially breaches these Terms and doesn't cure the breach within 30 days of written notice. If you terminate for our breach, we'll refund prepaid fees for the unused part of the term.

4.6  Suspension. We may suspend access immediately if your use threatens the security or availability of the Service or violates Section 6. We'll tell you why and restore access once the issue is resolved.

4.7  Your data after the term ends. For 30 days after your subscription ends, you can ask us for an export of your Customer Data, which we'll provide in a standard machine-readable format. After that period we'll delete Customer Data from active systems, and from backups within 90 days, unless the law requires us to keep it.

05

Your data

5.1  You own your data. "Customer Data" means data you or your systems provide to the Service, including CRM records, email and calendar content, and the outputs the Service generates for you. As between us, you own Customer Data.

5.2  Our license to use it. You grant us a limited right to host, process, copy and display Customer Data only as needed to provide, secure and support the Service and as described in our Privacy Policy.

5.3  No model training. We don't use Customer Data to train or fine-tune AI models, and we don't let our AI providers do so.

5.4  Usage data. We may collect data about how the Service is used, such as feature usage, performance and AI cost metrics. We may use it, and de-identified aggregate statistics that don't identify you or any person, to operate and improve the Service.

5.5  Security. We maintain reasonable administrative, technical and physical safeguards for Customer Data, including encryption in transit and at rest and logical separation of each customer's data. We'll notify you without undue delay after confirming a security incident affecting your Customer Data.

5.6  Personal data. If you're subject to data protection laws that require a data processing agreement, our Data Processing Addendum applies and is part of these Terms.

5.7  Your responsibilities. You're responsible for the accuracy and legality of Customer Data and for giving any notices and getting any consents your own customers, prospects and employees are owed.

06

Acceptable use

You won't, and won't let anyone else:

  • use the Service to break the law, send spam, or violate anyone's privacy or rights
  • upload malicious code or try to get around security, rate limits or credit metering
  • reverse engineer the Service, except where the law permits it despite this restriction
  • resell, sublicense or share access with anyone who isn't an Authorized User
  • use the Service or its outputs to build a competing product
  • use the Service to make decisions about employment, credit, insurance or housing for individuals

07

AI outputs

7.1  Review before you rely. The Service uses AI models from third-party providers. Outputs can be incomplete or wrong. You're responsible for reviewing outputs before acting on them or sending them to anyone.

7.2  Ownership of outputs. As between us, outputs generated from your Customer Data belong to you.

08

Our property and feedback

We own the Service, including its software, models, prompts, designs and documentation. If you send us suggestions or feedback, we may use them without obligation to you.

09

Confidentiality

Each party will protect the other's non-public business information with at least reasonable care and use it only to perform under these Terms. This doesn't cover information that is public, already known, received from someone else without restriction, or independently developed. Customer Data is your confidential information.

10

Warranties and disclaimers

10.1  We'll provide the Service in a professional manner and it will perform materially as described in our documentation. If it doesn't, tell us, and we'll try to fix it. If we can't within 30 days, you may terminate and get a refund of prepaid fees for the unused term.

10.2  Except as stated in these Terms, the Service is provided "as is." We disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We don't promise the Service will be uninterrupted or error-free, or that AI outputs will be accurate.

11

Indemnification

11.1  By us. We'll defend you against third-party claims that the Service, as we provide it, infringes their intellectual property, and pay resulting damages awarded or settlements we agree to. This doesn't apply to claims caused by Customer Data, your modifications, or combination with things we didn't provide.

11.2  By you. You'll defend us against third-party claims arising from Customer Data or your use of the Service in violation of these Terms, and pay resulting damages awarded or settlements you agree to.

11.3  Process. The party seeking defense must give prompt notice, let the other party control the defense, and reasonably cooperate.

12

Limitation of liability

12.1  Neither party is liable for lost profits, revenue or data, or for indirect, incidental, special or consequential damages, even if told they were possible.

12.2  Each party's total liability under these Terms is limited to the fees you paid in the 12 months before the event giving rise to the claim. These limits don't apply to your payment obligations, a party's indemnification obligations, or breach of Section 6.

13

General

13.1  Changes to these Terms. We may update these Terms. We'll post the update and email account owners at least 30 days before material changes take effect. Changes apply from your next renewal unless you agree sooner.

13.2  Publicity. We may list your company name and logo as a customer. You can opt out by emailing legal@axiss.ai. Order Forms with founding or early adopter pricing may include additional reference commitments.

13.3  Assignment. Neither party may assign these Terms without consent, except to a successor in a merger, acquisition or sale of substantially all assets.

13.4  Governing law. These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-laws rules. Courts in Suffolk County, Massachusetts have exclusive jurisdiction.

13.5  Notices. We'll send notices to the account owner's email. Send notices to us at legal@axiss.ai.

13.6  Other terms. These Terms and your Order Forms are the entire agreement on this subject. Purchase order terms don't apply. Neither party is liable for delays caused by events beyond its reasonable control. If a provision is unenforceable, the rest stays in effect. Failing to enforce a provision isn't a waiver. The parties are independent contractors. Sections that by their nature should survive termination will survive.

13.7  Export and sanctions. You represent that you aren't on a U.S. sanctions list and won't use the Service in violation of export laws.
